tella,Inc. (hereinafter ‘the Company’) disclosed posting of extraordinary income and extraordinary loss, etc. on Sep. 3, 2020 and transfer of fixed assets on Sep. 4, 2020. These disclosures and inquiries to the Company from Japan Exchange Regulation revealed that the Company had violated the listing rules by not disclosing information in a timely manner (hereinafter ‘this timely disclosure violation’) as it did not conduct disclosure on extraordinary income and loss, etc. until Sep. 3 and 4 despite the fact that (i) on Apr. 24, the Company resolved on matters related to settlement payment (JPY 46 million) that was likely to fall under the criteria for timely disclosure and then made such payment on Apr. 28, and (ii) on Jun. 8, it resolved on the transfer of fixed assets that was likely to be posted as extraordinary income (JPY 74 million) that similarly falls under the criteria for the timely disclosure. This was a case of inappropriate disclosure arising from deficiencies in the Company’s organizational structure for conducting timely disclosure, and improvements to the organizational structure were deemed highly necessary. As such, TSE required the Company to submit a report containing the background of the issue and improvement measures. The Company subsequently submitted the report on Dec. 15, however, the content of the report was deemed to be clearly inadequate. As such, TSE requested the Company to amend the improvement report and resubmit an amended improvement report by Jan. 7, 2021. |
